Terms and conditions
PLEASE READ THE FOLLOWING AGREEMENT RELATING TO YOUR USE OF B.PRO CAREFULLY. BY USING B.PRO, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU SHOULD NOT USE B.PRO. - Definitions
“Administrator User Name” refers to the user name that is issued to the Company and/or the Company Administrator that permits the Company and/or the Company Administrator access to the b.pro Reporting Website.
“Agreement” refers to the terms and conditions herein, as well as to the terms and conditions set forth on b.pro, including, but not limited to, SN Brussels Airlines’ Conditions of Carriage, Brussels Airlines’ International Passenger Rules Tariffs, and Brussels Airlines’ Privacy Policy.
“Company Administrator” refers to an agent who is authorized by the Company to access and use its b.pro Account, to create users and to change Company data.
“Company” refers to the company that has registered with b.pro.
“b.pro” refers to the Brussels Airlines’ dedicated travel website for professional users through which the Company, the Company Administrator and the Employees can book travel on Brussels Airlines, and which includes the b.pro Reporting Website.
“b.pro Account” refers to the account of the Company with b.pro.
“b.pro Reporting Website” refers to the password protected website of Brussels Airlines that is dedicated to providing the Company with travel reports that detail Company spending, Employee itineraries, tracking of Employee flights and similar information to facilitate management of corporate travel.
“b.pro User Name” refers to the user name that is issued to the Company and that enables the Company, the Company Administrator and the Employees to log into and make travel bookings through b.pro into the b.pro Account of the Company.
“Employee” refers to (1) an employee of the Company who authorized the Company to act on his behalf and (2) an employee of the Company who has been authorized by the Company to access and use the Company's b.pro Account. The term “Employee” includes the Company's employees, contractors, agents, officers, directors of the Company.
“Brussels Airlines” refers to DELTA AIR TRANSPORT nv (trading as Brussels Airlines), a company incorporated in Belgium, with registered office at 1000 Brussels (Belgium), Koloniënstraat 11.
- TERMS & CONDITIONS - IN GENERAL
2.1 This Agreement governs the use of and access to b.pro by the Company. By registering with and using b.pro, the Company agrees to be legally bound and to abide by this Agreement, just as if it had signed this Agreement. Brussels Airlines reserves the right, in its sole discretion, to change, modify, add or remove portions of this Agreement at any time. The Company should check this Agreement periodically for changes. By using b.pro after Brussels Airlines posts any changes to the Agreement, the Company agrees to accept those changes.
2.2 This Agreement applies to the Company, the Employees and the Company Administrator. The Company shall ensure that its Employees and the Company Administrator are aware of and comply with this Agreement.
- Registration with b.pro
3.1 By registering with b.pro, the Company agrees to provide Brussels Airlines with true, accurate and complete information about itself, and to maintain and promptly update such information to keep it accurate. Without limiting any other provision of this Agreement, if the Company provides any information that is untrue, inaccurate, or incomplete, or Brussels Airlines has reasonable grounds to suspect that such is the case, Brussels Airlines reserves the right to suspend or terminate the b.pro Account of the Company.
3.2 Upon registering with b.pro, Brussels Airlines shall issue the Company and/or the Company's Administrator an Administrator User Name and password.
3.3 Upon registering with b.pro, Brussels Airlines shall issue the Company a b.pro User Name and password.
3.4 The Company is entirely responsible for maintaining the confidentiality of its passwords and b.proaccount information. The Company must notify Brussels Airlines immediately in the event of any known or suspected unauthorized use of its passwords, or any known or suspected breach of security.
Likewise, the Company is entirely responsible for any and all activities that occur under its b.pro Account. The Company agrees to immediately notify Brussels Airlines of any unauthorized use of its b.pro Account or any other breach of security.
3.5 The Company may not sell, provide, or otherwise permit or provide access to its b.pro Account to any other entity or individual that is not an Employee or the Company Administrator.
- b.pro Service Commitment
All b.pro bookings are protected by the b.pro Service Commitment. A copy of the b.pro Service Commitment is available at pro.brusselsairlines.com
- Personal data of the Employees
5.1 Brussels Airlines is committed to protecting the privacy and security of the Employees. Any personal data that Brussels Airlines collects through the use of b.pro shall be processed in accordance with its Privacy Policy. The Company confirms that the Employees consented to their personal data being used and processed in accordance with the Privacy Policy of Brussels Airlines.
5.2 Notwithstanding the foregoing, the Company represents and warrants that the Employees are fully aware that the Company and/or the Company Administrator can provide Brussels Airlines with personal data of the Employees, that Brussels Airlines is authorized to use and disclose such personal data for purposes of performing b.pro services and as otherwise provided under Brussels Airlines privacy statement and that Brussels Airlines use or delivery of personally identifiable information of Employees for the purpose of performing b.pro services shall not violate the proprietary rights of any party, including the right to privacy.
- Indemnity
The Company agrees to indemnify, hold harmless and, at Brussels Airlines’ option, defend Brussels Airlines, and its officers, directors, employees, stockholders, agents and representatives from any and all third party claims, liability, damages and/or costs (including, but not limited to, reasonable attorneys fees and expenses) arising from the improper use of b.pro by the Company, its violation of this Agreement, the infringement or use by any other user of the b.pro Account of the Company, of any right of any person or entity, or any claims by Employees of the Company that arise in any way from Brussels Airlines use of Employee's personal data.
- Disclaimer of warranties
7.1 b.pro is provided "as is" and without warranties of any kind, either express or implied. Except as prohibited by law, Brussels Airlines disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, satisfactory quality and fitness for a particular purpose, compatibility, security, accuracy or non-infringement of intellectual property.
7.2 Neither Brussels Airlines nor any of its licensors, licensees, service providers or suppliers warrant that b.pro or any function contained in b.pro shall be uninterrupted or error-free, that defects will be corrected, or that b.pro or the servers that make b.pro available are free of viruses or other harmful components.
7.3 Any product, offering, content and material downloaded or otherwise obtained through the use of b.prois done at the sole risk of the Company and the Company shall be solely responsible for any damage to its computer system or loss of data that results from the download of any such product, offering, content or material.
7.4 While every care is taken to ensure that the information displayed on b.pro is correct, no warranty or representation is given as to its quality, accuracy, fitness for purpose, usefulness or completeness. Neither Brussels Airlines, nor any of its licensors, licensees, service providers or suppliers warrant or make any representations regarding the use or the results of the use of the products, offerings and content in b.pro in terms of their correctness, accuracy, reliability, or otherwise.
7.5 These disclaimers apply to the fullest extent permitted by law.
- Limitation of Liability
The Company expressly understands and agrees that (to the fullest extent permitted by law) Brussels Airlines shall not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or any other damages whatsoever. If the Company is dissatisfied with any portion of b.pro, or with any term of this Agreement, its sole and exclusive remedy is the discontinuation of its use of b.pro.
- No commissions
The Company, the Employees nor the Company Administrator shall be entitled to any commission, reimbursements or discounts for use of b.pro by Employees.
- Termination
10.1 In its sole discretion and without prior notice or liability, Brussels Airlines may terminate the company’s right to use b.pro.
10.2 The Company agrees that any termination or cancellation of its access to, or use of, b.pro may be effected without prior notice. If the Company does not abide by the provisions of this Agreement, the Company agrees that Brussels Airlines may immediately deactivate or delete the b.pro account of the Company and all related information and files and/or bar any further access to such information and/or files, or b.pro. Further, the Company agrees that Brussels Airlines shall not be liable to the Company or any third-party for any termination or cancellation of its access to, or use of, b.pro.
- Entire agreement and severability
If any provision of this Agreement shall become or be declared unlawful, void, or for any reason unenforceable, such provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This Agreement is the entire agreement between Brussels Airlines and the Company relating to the subject matter herein.
- Governing Law and Choice of Forum
This Agreement shall be governed by and construed in accordance with the laws of Belgium, without giving effect to any principles of conflicts of law. The Company agrees that any action at law or in equity arising out of or relating to its use of b.pro or this Agreement shall be filed only before the Courts of Brussels (Belgium) and the Company hereby consents and submits to the personal jurisdiction of such court for the purposes of litigating any such action.
